Terms & Conditions

The best work comes out of great relationships. Honesty, respect, and gratitude are the keys to a great relationship, and therefore we have an interest in treating each other with these values at all times. As much as legal documents are important, what truly binds us is our drive to do great work with great people and to develop a relationship of mutual respect and trust.

These Terms & Conditions (the “Terms”), along with the Agreement(s), Quote(s), Proposal(s), and/or Statement(s) of Work (each, a “Work Order”) between you or the company or organization which you represent (“you” or “Client”) and Banker Creative LLC, doing business as Siteflyer (“we,” “us,” or “Agency”), form an agreement between you and us and are collectively referred to herein as the “Agreement.”

1. Services

Siteflyer agrees to provide the services (“Services”) described in the applicable Work Order. All Services are provided on a subscription basis with a contract term of twenty-four (24) months.

2. Payment Terms

• Subscription Fees: The Client agrees to pay the subscription fees as outlined in the Work Order. All subscription payments will be processed automatically through Stripe on a recurring basis. The Client must provide and maintain a valid payment method on file.
• Automatic Billing: Subscription fees will be automatically charged on the designated billing date each month. If a payment attempt fails, Stripe will automatically retry the payment according to its standard retry schedule.
• Payment Failure & Account Suspension: If a payment remains unsuccessful after multiple attempts, the Client’s account may be suspended until the outstanding balance is resolved. The Agency reserves the right to terminate services if payments are not received within a reasonable timeframe.
• Non-Refundable Payments: All payments, including deposits and advance payments, are non-refundable. The Client acknowledges and agrees that failure to use the Services does not constitute grounds for a refund.

3. Early Termination

The Agreement is binding for the full 24-month term. If the Client wishes to terminate the Agreement before the end of the term, the Client must provide thirty (30) days' written notice and pay a termination fee equal to the total remaining subscription fees for the unexpired portion of the term. Termination will be effective as of the last day of the calendar month following the end of the 30-day notice period. The termination fee will be in addition to all fees due up to the termination date.

4. Warranty

The Agency warrants that:

• The Services will be performed in a professional and workmanlike manner and that none of such Services or any part of this Agreement is or will be inconsistent with any obligation the Agency may have to others.
• None of the Services or Inventions or any development, use, production, distribution, or exploitation thereof will infringe, misappropriate, or violate any intellectual property or other right of any person or entity (including, without limitation, the Agency).
• The Agency has the full right to provide the Client with the assignments and rights provided for herein.
• The Agency shall comply with all applicable laws in the course of performing the Services.
• If the Agency’s work requires a license, the Agency has obtained that license, and the license is in full force and effect.

5. Additional Requests

If there are additional deliverables requested outside of the scope of this Agreement, the Agency will provide an estimate for approval to the Client. The Agency's billable hourly rate of $125/hour will be applied.

6. Recognition of Relationship

The Agency may publicly identify the Client as a client of the Agency and may place the Client's name and logo on the Agency's website and marketing materials, subject to confirmation with the Client.

7. Confidentiality

Both parties agree to maintain the confidentiality of all information and materials provided by the other party that are identified as confidential or that reasonably should be understood to be confidential. Confidential information shall be disclosed only to those employees, agents, or advisors who need to know such information for purposes related to this Agreement.
